These Terms & Conditions (“Terms”) govern the use of the SI Supplies website and the purchase of products and services from Starwood Int., Inc., doing business as SI Supplies (“SI Supplies,” “Starwood,” “we,” “us,” or “our”).

By accessing or using our website, requesting a quote, placing an order, purchasing products or services, or otherwise doing business with SI Supplies through our website, telephone, email, sales representatives, purchase orders, work orders, or other communications, you agree to these Terms.

If you do not agree to these Terms, you should not use our website or purchase our products or services.

These Terms apply to both website transactions and direct transactions conducted through SI Supplies sales representatives or other authorized company personnel.

1. Company and Transaction Terms

SI Supplies is a brand operated by Starwood Int., Inc.

Orders may be submitted through:

  • Our website;
  • Telephone;
  • Email;
  • Sales representatives;
  • Written purchase orders;
  • Work orders;
  • Customer service representatives; or
  • Other methods accepted by SI Supplies.

Quotes, invoices, order confirmations, purchase orders, work orders, and other transaction-specific documents may contain additional terms applicable to a particular transaction.

If a written agreement signed by an authorized representative of SI Supplies expressly conflicts with these Terms, the signed agreement will control only with respect to that specific conflict.

A customer's purchase order or other document containing terms that differ from these Terms does not modify these Terms unless expressly accepted in writing by an authorized representative of SI Supplies.

2. Acceptance of Orders

All orders are subject to acceptance by SI Supplies.

Submitting an order, receiving an automated order confirmation, or receiving a quote does not necessarily constitute final acceptance of the order.

We reserve the right to refuse, cancel, or limit an order, in whole or in part, when permitted by law, including when:

  • A product is unavailable;
  • Product information or pricing contains an error;
  • The requested quantity is unavailable;
  • Payment cannot be authorized;
  • The order appears fraudulent;
  • The order is placed for unauthorized resale or distribution;
  • Shipping or delivery cannot reasonably be completed;
  • The customer has an outstanding or delinquent balance; or
  • Other legitimate business circumstances require cancellation or modification.

If we cancel or materially modify an order after payment has been received, we will provide any refund required by applicable law and our applicable policies.

3. Quotes and Estimates

Unless otherwise stated in writing, quotes and estimates are subject to product availability and may expire according to the expiration date stated on the quote.

Quotes may be based on the information available to us at the time the quote is prepared.

Changes to quantities, specifications, shipping destinations, delivery requirements, product availability, or other order details may change the quoted price.

A quote does not guarantee product availability unless expressly stated in writing.

4. Product Information

We make reasonable efforts to provide accurate product descriptions, specifications, images, dimensions, colors, quantities, and other product information.

However, minor variations may occur between website images, samples, manufacturer specifications, and the products actually delivered.

Colors may appear differently depending on the customer's monitor or device.

Product specifications may change when manufacturers update their products.

If exact specifications, dimensions, colors, finishes, quantities, or other characteristics are critical to a purchase, the customer is responsible for confirming those specifications with SI Supplies before placing the order.

5. Pricing and Taxes

Prices are subject to change without notice unless otherwise stated in a written quote or agreement.

Unless expressly stated otherwise, prices may exclude:

  • Sales and use taxes;
  • Freight;
  • Shipping and handling;
  • Special handling charges;
  • Expedited or rush charges;
  • Customs duties;
  • Import fees;
  • Brokerage fees;
  • Special delivery services; and
  • Other applicable charges.

Customers are responsible for applicable taxes and charges unless SI Supplies is legally required to collect and remit them.

We reserve the right to correct pricing, typographical, calculation, or other errors.

If an order is affected by a material pricing error, we may cancel the affected order and provide any refund required by applicable law.

6. Payment Terms and Credit Accounts

Customers must provide accurate and complete billing information.

Customers approved for credit or Net Terms must pay invoices according to the payment terms established by SI Supplies.

Unless otherwise agreed in writing, payment is due according to the terms stated on the applicable invoice.

Past-due accounts may be subject to lawful late charges, collection costs, attorney fees where recoverable, credit holds, suspension of shipments, withdrawal of credit privileges, or other remedies available under the applicable agreement and law.

SI Supplies may require payment in advance, a deposit, or other payment arrangements before accepting or fulfilling future orders when an account is past due or otherwise presents a reasonable credit concern.

Nothing in these Terms creates personal liability for an owner, officer, employee, or representative of a customer unless that person separately agrees in writing to personal liability or such liability otherwise exists under applicable law.

7. Credit Card and Payment Authorization

Customers authorize SI Supplies and its authorized payment processors to process approved charges associated with accepted orders.

Customers are responsible for maintaining accurate payment information.

If payment is declined, reversed, disputed, or otherwise unavailable, SI Supplies may suspend fulfillment until payment is resolved.

Nothing in this section limits any rights a customer may have under applicable payment-card laws or regulations.

8. Shipping and Delivery

Shipping is governed by the SI Supplies Shipping Policy, which is incorporated into these Terms.

Shipping times are estimates unless a specific delivery commitment is expressly provided in writing.

For Internet, telephone, and other orders subject to applicable federal shipping requirements, SI Supplies will comply with applicable laws concerning advertised shipping times, shipping delays, cancellation rights, and refunds.

If SI Supplies learns that an order cannot be shipped within the applicable promised timeframe, we will provide the customer with the notices and options required by applicable law.

Orders may be shipped in multiple packages and may arrive at different times.

SI Supplies is not responsible for carrier delays or delays caused by circumstances beyond our reasonable control, subject to any rights the customer has under applicable law.

9. Freight and Large Orders

Large, oversized, heavy, bulk, or otherwise specialized orders may require freight transportation.

Freight shipments may require additional coordination with the customer.

Additional charges may apply for services including, where applicable:

  • Liftgate delivery;
  • Residential delivery;
  • Delivery appointments;
  • Inside delivery;
  • Limited-access locations;
  • Special handling;
  • Storage;
  • Re-delivery;
  • Detention;
  • Expedited freight; or
  • Other carrier services.

The customer is responsible for providing accurate shipping information and notifying SI Supplies of any special delivery requirements before shipment.

10. Custom, Special-Order and Made-to-Order Products

Certain products may be custom manufactured, modified, cut, configured, finished, sized, or specially ordered according to customer specifications.

Custom, special-order, and made-to-order products may be non-returnable and may not be cancellable after production or procurement has begun, except where otherwise required by applicable law or expressly agreed to in writing.

Customers are responsible for reviewing and approving specifications before production or procurement.

Because manufacturing processes can result in reasonable variations, custom products may vary within commercially reasonable manufacturing tolerances in areas such as:

  • Color;
  • Finish;
  • Dimensions;
  • Quantity;
  • Texture;
  • Pattern; or
  • Other manufacturing characteristics.

Any specific tolerances stated in a quote or product specification will apply to that order.

11. Product Quantity and Packaging Variations

Packaging quantities, manufacturing quantities, and shipped quantities may occasionally vary from expected quantities because of manufacturer packaging requirements, production tolerances, or custom manufacturing processes.

Where a product is custom manufactured or supplied in accordance with an agreed manufacturing tolerance, a reasonable overage or shortage within that tolerance will not constitute a breach of contract.

If a customer requires an exact quantity, the customer should notify SI Supplies before placing the order so that the requirement can be evaluated and documented.

12. Inspection and Shipping Damage

Customers should inspect shipments promptly upon delivery.

Visible damage, shortages, or incorrect merchandise should be reported to SI Supplies as soon as reasonably possible, together with photographs and supporting documentation when available.

Customers should retain damaged packaging and products until the claim has been investigated.

Nothing in this section limits any rights or remedies that cannot legally be waived.

13. Returns, Exchanges and Refunds

Returns, exchanges, cancellations, and refunds are governed by the SI Supplies Return & Refund Policy.

Certain products may be excluded from return, including custom-made, personalized, special-order, used, modified, discontinued, clearance, or otherwise designated non-returnable products, subject to applicable law.

No product should be returned without prior authorization from SI Supplies.

Unauthorized returns may be refused or returned to the customer at the customer's expense to the extent permitted by law.

14. Warranties

Products may be covered by manufacturer warranties or warranties expressly provided by SI Supplies.

Any applicable written warranty will govern the scope and duration of that warranty.

To the maximum extent permitted by applicable law, SI Supplies does not create any warranty beyond those expressly provided in writing or otherwise required by law.

Any legally effective disclaimer or limitation of implied warranties will be interpreted and applied only to the extent permitted by applicable law.

Nothing in these Terms is intended to eliminate a warranty or consumer right that cannot legally be excluded.

15. Website Availability

We attempt to keep our website available and functioning properly, but we do not guarantee uninterrupted or error-free access.

We may modify, suspend, update, or discontinue portions of the website or online services at any time.

We are not responsible for temporary interruptions caused by maintenance, technical problems, hosting providers, telecommunications providers, cybersecurity incidents, or circumstances beyond our reasonable control.

The SI Supplies website and its content, including logos, trademarks, photographs, graphics, text, product information, designs, and other materials, are owned by or licensed to Starwood Int., Inc. or its respective licensors.

SI Supplies does not control third-party websites and is not responsible for their content, policies, availability, security, or practices.

If you submit reviews, comments, photographs, testimonials, suggestions, ideas, or other content to SI Supplies, you represent that you have the right to submit that content.

To the extent permitted by law, you grant SI Supplies a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, display, and distribute submitted content for legitimate business and promotional purposes.

We may remove or refuse content that is unlawful, defamatory, misleading, infringing, abusive, obscene, or otherwise inappropriate.

19. Prohibited Activities

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SI SUPPLIES AND STARWOOD INT., INC., INCLUDING THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE WEBSITE, SERVICES, PRODUCTS, OR TRANSACTION.

THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW, LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPLACEMENT COSTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SI SUPPLIES' TOTAL LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO SI SUPPLIES FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless SI Supplies, Starwood Int., Inc., and their respective owners, officers, directors, employees, agents, affiliates, contractors, suppliers, service providers, and licensors from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:

  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your misuse of our website or services;
  • Your violation of another person's rights; or
  • Your negligent or wrongful conduct.

23. Force Majeure

SI Supplies will not be liable for delays or failures caused by events beyond our reasonable control, including severe weather, natural disasters, fire, flood, war, terrorism, labor disputes, transportation disruptions, carrier delays, supply-chain disruptions, material shortages, governmental actions, utility failures, telecommunications failures, cyber incidents, or other circumstances beyond our reasonable control.

This provision does not eliminate any mandatory rights or remedies provided by applicable law.

24. Claims and Customer Cooperation

Customers agree to cooperate reasonably with SI Supplies in investigating claims involving products, shipments, payments, returns, or warranties.

Customers may be required to provide order numbers, invoices, photographs, shipping documentation, product information, or other information reasonably necessary to investigate a claim.

Failure to provide requested information may delay investigation or resolution but will not eliminate rights that cannot legally be waived.

25. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

26. Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

A waiver must be expressly provided by an authorized representative of SI Supplies.

27. Termination and Suspension

We may suspend or terminate access to our website or services when permitted by law, including when a customer violates these Terms or fails to satisfy payment obligations.

Termination does not affect obligations that arose before termination, including payment obligations, return obligations, indemnification obligations, and provisions that by their nature survive termination.

28. Governing Law

These Terms and transactions between you and SI Supplies are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any mandatory consumer protections or other rights that cannot legally be waived remain applicable.

29. Venue and Jurisdiction

To the extent permitted by applicable law, any legal action arising from these Terms or a transaction with SI Supplies shall be brought in a court of competent jurisdiction in Texas.

Nothing in this section prevents a customer from exercising a legal right to bring a claim in another forum where applicable law requires that right.

30. Changes to These Terms

We may update these Terms from time to time.

The most current version will be posted on our website.

Changes will become effective when posted unless otherwise stated.

Your continued use of the website after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

31. Entire Agreement

These Terms, together with applicable quotes, order confirmations, invoices, Shipping Policy, Return & Refund Policy, Privacy Policy, warranties, and other applicable written agreements, constitute the agreement governing the applicable transaction.

Any amendment or modification must be accepted by an authorized representative of SI Supplies unless otherwise permitted by these Terms or applicable law.
